LLC or S corp: choosing the right structure

Choosing an entity is one of the first big decisions for any business with partners. There is no single right answer: it depends on how you plan to grow, raise money and make decisions.

Owners and decision-making

Both options can work with several owners, but they differ in governance, formalities and how decisions are made. Think about how you want to decide in three years, not just today.

Formation and ongoing costs

Filing fees, annual reports and payroll requirements vary by state and structure. Ask for a flat-fee quote that covers setup and the first year.

Raising money and adding partners

If you expect to bring in investors, review early how new ownership would be issued and which operating or shareholder agreement makes sense.

Checklist

  • Number of owners and contributions
  • Main activity and state
  • Two-year funding plan
  • Draft operating or shareholder agreement

The best structure is the one that supports your growth plan, not the fastest one to file.
